Subscription Terms

Introduction

These On3 Subscription Terms are effective as of the Effective Date above and the other Terms referenced within are effective as of the effective date provided within each document posted on the Services. By using and/or accessing the On3 Sites, any of the Services and/or the audio and video materials, photographs, text, graphics, logos, layouts, designs, interfaces, software, advice, predictions, statistics, data and other content associated with the Services (collectively, the “Content”) you accept and consent to the Terms of Service, including these On3 Subscription Terms, and agree to be legally bound by them. If you have not reviewed any of the Terms of Service, including these On3 Subscription Terms, since the Effective Date, please review them carefully before using the Services, as these affect your rights. We may change the Terms of Service, including these On3 Subscription Terms, in the future, so we encourage you to review periodically the Terms of Service, including these On3 Subscription Terms, applicable to the Services you use. The most current version of the applicable Terms (along with its effective date) will be linked from each of the Services. Accordingly, you agree that we may notify you of the then applicable Terms by posting them on the Services (or in any other reasonable manner of notice which we elect). If you do not agree with any changes to any of the Terms of Service, including these On3 Subscription Terms, your sole remedy is to discontinue use of the Services. If you continue to use the Services after we change the Terms of Service, including these On3 Subscription Terms, your continued use constitutes your acceptance to all changes.

The On3 Sites currently provide users with various features and services, including statistical review, articles, photo galleries, video, message boards and rankings and other interactive and non-interactive features, all of which may be updated, deleted, or otherwise modified from time to time at the discretion of On3. In some instances, both the Terms of Service, including these On3 Subscription Terms, and separate guidelines, rules, or Terms of Service or sale setting forth additional or different terms and/or conditions, including On3’s Privacy Policy will apply to your use of the On3 Sites, or to a service or product offered via the On3 Sites (in each such instance, and collectively, “Additional Terms”). To the extent there is a conflict between the Terms of Service, including these On3 Subscription Terms, and any Additional Terms, the Additional Terms will control unless the Additional Terms expressly state otherwise.

Certain Services are provided to you free-of-charge, while other Services, including, without limitation, the subscription products (the “Subscription Products”) require payment before you can access them. If you choose to subscribe to the Subscription Products, please review the provisions of the Subscription Products below, in addition to all of the other provisions of the Terms of Service, including these On3 Subscription Terms. If you are not a subscriber to the Subscription Products, then the Subscription Products Section does not apply to you. References to Services throughout the Terms of Service include the Subscription Products.

Your use of the On3 Sites, the Services (including, without limitation, the Subscription Products) and the Content are also subject to your compliance with all applicable laws and regulations. If you do not agree to any of the Terms of Service, including these On3 Subscription Terms, you should not use the On3 Sites, the Services, and/or the Content.

On3 assumes no responsibility in connection with your use of the On3 Sites, the Services, or the Content. The On3 Sites, the Services (including, without limitation, the Subscription Products), and the Content are provided for your non-commercial entertainment and enjoyment. You may not distribute, modify, republish, or publicly display any of the Content or Services unless you have the prior written permission of On3, which permission may be withheld at On3’s sole discretion.

User Content

With respect to any messages, information, data, graphics, photographs, images, creative ideas, statistics, advice, predictions, concepts, know-how, techniques, suggestions or improvements or other content that you transmit, submit, post or upload to the On3 Sites and/or in connection with any of the Services (each, “User Content”), you are, by transmitting or uploading such User Content, granting On3 a perpetual, royalty-free, sub-licensable, non-exclusive, worldwide and irrevocable right (but not the obligation) and license to use, reproduce, modify, publish, translate, prepare derivative works based upon, and distribute such User Content for any purpose, in any form and via any media now known or later developed. This license is granted automatically, and no payment of any kind will be due to you. At times, On3 may solicit User Content from users; your provision of any such User Content in response to a solicitation by On3 shall be subject to the grant of a license specified above. User Content shall also be considered “User Contributions” as such term is defined in On3’s Terms and Conditions.

When users post User Content to the On3 Sites or any of the Services, On3 shall have the right, but not the obligation, to review, edit or delete such User Content for any reason, at On3’s sole and exclusive discretion. It is On3’s policy to fully cooperate with law enforcement authorities and court orders which request or require On3 to disclose personal information or the postings of anyone posting User Content to the On3 Sites or any of the Services, in accordance with the Terms. Although On3 may monitor and/or review User Content from time to time, it is under no obligation to do so and does not assume any liability or responsibility with respect to any User Content including those that contain errors, defamatory content, pornography, profanity or inaccuracies.

You acknowledge and agree that On3 may preserve User Content and may also disclose User Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce the Terms, including these On3 Subscription Terms; (c) respond to claims that any User Content violates the rights of third-parties; and/or (d) protect the rights, property, or personal safety of On3, its users and the public. You understand that the technical processing and transmission of the Services, including User Content, may involve (x) transmissions over various networks; and (y) changes to conform and adapt to technical requirements of connecting networks or devices.

Subscription Terms

These On3 Subscription Terms contain additional provisions that apply if you subscribe to the Subscription Products. The Subscription Products require payment before you can access it. If you choose to subscribe to the Subscription Products, please review this Section. References to Services throughout the Terms include the Subscription Products.

  1. Subscribing. You can subscribe to our Subscription Products by following the prompts on the On3 Sites. Please note that Subscription Products require registration. When providing your payment information, you confirm that it is accurate, that you are authorized to use the payment method, and that you’ll keep your account details up to date (including your email address and billing information) so we can complete your transactions and contact you if needed. On3 may also work with third-party services to help keep your card information current. All subscription orders are subject to On3’s acceptance. We may, at our discretion, limit or cancel an order—for example, if multiple orders are placed using the same account, credit card, or billing information, or if we suspect the order is coming from a dealer or reseller. If we make changes to or cancel an order, we’ll try to notify you using the contact details provided at the time of purchase. As a paid subscriber, you’ll receive a limited, personal license to access subscription Content on devices that you own. Access requires your username and password, and you agree to keep those credentials secure.
  2. Automatic Renewal; Billing Terms:  By providing Payment Method information for your Subscription Product, you are agreeing to pay a subscription fee, that will automatically renew and be charged to your Payment Method at the subscription rate you subscribed with (subject to adjustment provided below), unless you unsubscribe as specified herein, and any applicable taxes and service fees (“Fees”) in connection with your use of the Subscription Products. The Fees will be charged to your Payment Method automatically at the beginning of your subscription period, and at the beginning of each renewal subscription period thereafter on the calendar day corresponding to the commencement of your current subscription period unless you cancel your Subscription Product or your account, or the Subscription Product is suspended or terminated pursuant to the Terms, including these On3 Subscription Terms. The renewal subscription period will be the same length as your initial subscription period unless otherwise disclosed to you at the time of sale or as otherwise agreed to by you and us (for example if you change your subscription from monthly to annual). The rate for the renewal subscription period will be the rate at which you started your subscription (subject to adjustment provided below). Please note that in connection with monthly subscriptions, if applicable, if your subscription begins after the 28th day of a month, then in any subsequent month in which that day does not occur, On3 will charge your Payment Method on approximately the last day of such month. For example, if you started your subscription on January 31st, your next payment date will be approximately February 28th. The Fees charged to your Payment Method may vary from subscription period to subscription period due to changes in your subscription plan or applicable taxes, and you authorize On3 to charge your Payment Method for these amounts. 

If there are any discrepancies in billing, you hereby waive your right to dispute such discrepancies if you do not notify On3 within 60 days after they first appear on an account statement. The final amount due for your Subscription Product may be subject to local tax laws and rates. The actual cost might vary accordingly. Your final invoice will reflect these taxes, itemized for clear understanding.

We will attempt to process payment using your Payment Method for the next subscription period.  Such payments are not for a past due debt. If your Payment Method is declined and we are unable to process your payment for your next subscription period: (1) you authorize On3 to continue charging your Payment Method, as your Payment Method information may be updated as described above; and (2) we may suspend or terminate your subscription. Changing your Payment Method information may affect the day of your subscription period renewal. Upon the expiration or termination of the Subscription Product and/or these On3 Subscription Terms for any reason, user’s access to, and use of, the Content will terminate.  If your payment is unsuccessful by reason of insufficient funds, expiration, or otherwise, you remain responsible for any uncollected amount.

YOU ARE RESPONSIBLE FOR ALL INTERNET ACCESS CHARGES. PLEASE CHECK WITH YOUR INTERNET PROVIDER FOR INFORMATION ON POSSIBLE INTERNET DATA USAGE CHARGES. IF YOU ACCESS THE SERVICES VIA A WIRELESS DEVICE, YOU MAY BE CHARGED MESSAGE AND/OR DATA RATES IN ACCORDANCE WITH THE TERMS AND CONDITIONS OF YOUR SERVICE AGREEMENT WITH YOUR WIRELESS CARRIER. YOU SHOULD CONTACT YOUR WIRELESS CARRIER FOR POSSIBLE CHARGES RELATING TO YOUR USE OF THE SERVICES

  1. Price Changes. On3 reserves the right to change the pricing of the Subscription Products at any time. In the event of a price change, On3 will post the new pricing in the On3 Sites and attempt to notify you in advance by sending an email to the address you registered with (or subsequently changed) for your account. You agree that by providing you with notice through an electronic communication from us and via all agreements, notices, disclosures, and other communications that we provide to you electronically, On3 satisfies any legal requirement that such communications be in writing. If you do not wish to accept a price change, you may cancel your Subscription Product as described below, otherwise you will be deemed to have consented to the price change and authorize On3 to charge the new Fees to your Payment Method.
  1. Cancellation. You can cancel your Subscription Product at any time by going to your account management page. You must cancel your subscription at least 24 hours before it renews each billing Period to avoid billing of the next billing Period’s subscription fees to your Payment Method. Accordingly, when you cancel, you cancel only future charges associated with your Subscription Product, and you will not receive a refund for the current billing Period. Your cancellation will become effective at the end of your current billing Period, and you will continue to have access to your Subscription Product for the balance of the billing Period.

You acknowledge and agree that cancellation of your subscription is your sole recourse if you have any dissatisfaction, issue or concern related to the Subscription Products, the Services, the On3 Sites, its Content or features or these On3 Subscription Terms, including Fees, applicable taxes, or billing methods; the selection of Content available to you through the Subscription Products; these On3 Subscription Terms, the Terms of Service, including, without limitation, the On3 Privacy Policy, or any changes thereto; or any other of the Subscription Products policies or practices. As described above, even if you cancel your subscription to the Subscription Products during a subscription period, you will not receive a refund for any portion of the Fees for the remainder of the current subscription period. In rare circumstances, we may provide a credit, discount, or other consideration to some or all of our subscribers (“Credits”). The amount and form of such Credits, and the decision to provide them, are at our sole discretion. The provision of Credits in one instance does not entitle you to Credits in the future for similar instances, nor does it obligate us to provide Credits in the future, under any circumstance.

  1. Differing Subscriptions/Promotions. We may offer various types of subscriptions, including subscriptions to different services and special promotions. Any materially different terms from those described in these Subscription Terms will be disclosed at the time of purchase or in other communications made available to you. You can find details regarding your subscription by visiting your account management page at https://www.on3.com/my/settings/. We reserve the right to change or terminate any offered subscriptions or promotions at any time. From time to time, promotional codes may be available, including those provided as part of a third-party promotion. Promotional codes may be redeemed as described in the specifics of the promotion. Promotional codes can only be used once, cannot be redeemed for cash, and may be combined with other offers, subject to certain restrictions as determined by On3, in its sole discretion. If you received a promotional code through an offer by a third party, additional conditions may apply. Any promotional codes obtained through unlawful or unauthorized means shall be deemed null and void.
  1. Changes to Subscription Products On3 reserves the right to update and change the Subscription Products, including its features and the selection of Content available in the Subscription Products, at any time. In addition, On3 reserves the right to test various aspects of the Subscription Products. On3 reserve the right to, and by using our Services you agree that we may, include you in or exclude you from these tests without notice. In the event of material changes to the Subscription Products On3will post notice in the On3 Sites.
  1. Security of User Data: User shall: (a) be responsible for the security and/or use of his/her username and password; (b) not disclose that information to any person or entity; (c) not permit any other person or entity to use his/her username or password; and (d) use his/her Subscription Product in accordance with the terms and conditions of the Terms of Service, including these On3 Subscription Terms. On3 reserves the right to deny, suspend or revoke access to the Subscription Product Content, in whole or in part, if On3 believes a user is in breach of the Terms of Service, including these On3 Subscription Terms, or is otherwise using or accessing the Subscription Product Content in a manner inconsistent with the terms and conditions of these On3 Subscription Terms. Users acknowledge and agree that On3 is providing access to and use of the Content to multiple customers and those services are non-exclusive and non-transferable by user. You can access and edit specific details regarding your subscription to the Subscription Product, including information concerning your credit card or other available payment method (“Payment Method”), on the On3 Sites at any time by clicking on your name, which appears at the top of each page of the site when you are logged in, and clicking the “Settings” link in the drop-down menu that will appear.
  1. User Age Restriction. Our paid Services are intended only for individuals who have reached the age of majority in their jurisdiction of residence (typically eighteen (18) years of age or older). By purchasing or subscribing to any Service, you represent and warrant that you meet these eligibility requirements. If you are under the age of majority in your jurisdiction, you may not purchase or subscribe to any Service. Any purchase or subscription must instead be completed by a parent or legal guardian on your behalf. We do not knowingly collect Personal Information from anyone under the age of majority in their jurisdiction without appropriate consent.

California residents under sixteen (16) years of age may have additional rights regarding the collection and sale of their personal information. Please refer to our Privacy Policy for details.

By purchasing or subscribing to our Services, you acknowledge and agree that you may be exposed to content that you find objectionable, and it is solely your responsibility to determine whether such content is suitable for you.

  1. Electronic Messages. By purchasing a Subscription Product, you consent to receive notices, disclosures, agreements, policies, receipts, confirmations, transaction information, account information, and other communications related to your subscription (collectively, “Electronic Messages”). These Electronic Messages may include emails regarding the Content or Subscription Products, and they will be sent to the email address you provided at registration. Such communications are necessary for you to receive the Subscription Products, and you agree that they satisfy any legal communication requirements, including that they be in writing. If you do not wish to receive these communications, you may cancel your subscription at any time as provided in these On3 Subscription Terms.

Premium Ad-Free Subscription Tier

Our Premium Ad-Free tier lets you enjoy On3.com without standard banner ads. This upgrade removes only dynamic banner advertising and does not eliminate other sponsored content such as hard-coded sponsorships, video or podcast ads, custom ad units, or special event placements.

We may modify the terms, ad exclusions, or availability of this tier at any time. The Premium Ad-Free plan is offered at a fixed rate shown at checkout and replaces any active promotional pricing. If you upgrade before your current subscription ends, any unused value will be credited toward the new plan.

Paid Services.

Many portions of the Services are available at no cost. However, in addition to our Subscription Products, certain services, features, or digital offerings may require payment (collectively, “Paid Services”).

By purchasing or using any Paid Services, you agree to be bound by these Subscription Terms, the On3 Terms of Service, and any additional terms or pricing displayed at the time of purchase. Unless otherwise stated, all payments are final and non-refundable, including in cases of termination, suspension, or partial use of a billing period.

You authorize On3 (and its third-party payment processors) to charge your designated payment method for all applicable fees, taxes, and charges associated with the Paid Services you select. It is your responsibility to ensure that your payment information is current and accurate.

We reserve the right to modify, suspend, or discontinue any Paid Service (in whole or in part) at any time, and to adjust pricing or payment terms with reasonable notice where required by law. Continued use of any Paid Service following such notice constitutes your acceptance of those changes.
